The Builder and Commercial Engine
Like the property developer
Utility Consulting Solutions (Pty) Ltd originates, develops, delivers, operates, meters and settles projects. It retains the brand, team, IP and MyMunic/MEA technology.
The Investor-Facing Investment Basket
Like the property fund
UtCS Private Energy Portfolio Holdings (Pty) Ltd has a deliberately narrow role: receive long-term portfolio equity and own the shares in qualifying Project SPVs.
The Individual Project Box
Like one individual building in the fund
Each SPV owns the physical energy assets, the PPA/ESA, receivables, warranties, insurance, site rights and project bank accounts, and appoints UtCS under written agreements.
The External Guardian of Secured Rights
The independent guardian of investor and lender rights
Sits outside the ownership tree. Holds and, after a defined uncured default and proper instruction, enforces the agreed security package for the beneficiaries.
